Purpose

Welcome to the Sorbus website group, which includes websites, mobile web pages, mobile applications, blogs, and embedded programs such as the Rewards Program and Reviews Program (collectively, the “Website”). This Sorbus Terms of Use Agreement (the “Agreement”) establishes an agreement between Sorbus Vietnam Co., Ltd. (the “Company,” “we,” or “us”), the copyright and intellectual property owner of the Solife Website, and each user (the “User,” “you,” or “your”). This Agreement governs your use of the Website, participation in the Company’s Rewards or Reviews Programs (collectively, the “Programs”), and the Company’s Privacy Policy (“Privacy Policy”). Please read this Agreement carefully before using the Website, participating in any Program, or disclosing any personal information to us.

By accessing or using the Website, participating in the Rewards or Reviews Programs, or disclosing any personal information to us, you:
(i) confirm that you have read and understand the terms of this Agreement,
(ii) accept and agree to be bound by these terms, and
(iii) confirm that you are in compliance with all applicable laws and regulations.

IF YOU DO NOT AGREE WITH ANY PROVISION OF THIS AGREEMENT, DO NOT ACCESS OR USE THE WEBSITE, PARTICIPATE IN THE REWARDS PROGRAM, OR DISCLOSE ANY PERSONAL INFORMATION TO US.

Modifications
We may revise or modify this Agreement at any time at our sole discretion by updating this posting. You should visit this page periodically to review the current terms, as they are binding on you. Your continued use of the Website or participation in any Program constitutes acceptance of the revised Agreement. If any revision is unacceptable to you, your sole recourse is to terminate this Agreement by contacting customer service. Some terms may be overridden by notices or legal terms posted on specific pages of the Website or contained in program-specific terms for the Rewards or Reviews Programs.

Use & Termination

By using the Website and/or participating in a Program, you represent and warrant that you are at least eighteen (18) years old and have legal capacity to agree to this Agreement and any Program terms. If you are under 18, you are not permitted to use the Website or participate in any Program.

Account Setup & Use

You must create an account to use certain features (e.g., making purchases). You must provide accurate, truthful, current, and complete information, and keep it updated. If you provide false or outdated information, we may suspend or terminate your account and bar your access to the Website. During registration, you will create a username and password. You are responsible for maintaining the confidentiality of your account and password and all activity under your account. You agree to notify us of unauthorized use or any breach and to log out at the end of each session. You are responsible for all charges incurred through use of your account, including unauthorized charges. We are not liable for any loss or damage from your failure to comply.

Website Use

You agree to use the Website and Programs only for legitimate purposes and are responsible for your communications and content. You must not post or transmit any illegal, infringing, defamatory, obscene, threatening, offensive, or objectionable material, including content encouraging illegal acts, civil liability, infringement of others’ IP rights, or violation of laws.

You must not use the Website in ways that interfere with normal operation or others’ use.

You may only access the Website via the interface we provide. Framing or using Website content on another site without our permission is prohibited. Any permitted linking must comply with all applicable laws, rules, and regulations.

Jurisdiction

We make no representation that materials on the Website are appropriate or available outside Vietnam, or that this Agreement complies with laws outside Vietnam. Users outside Vietnam access the Website at their own risk and must comply with applicable laws. You alone are responsible for determining whether purchase of a product is lawful where you reside. You may not use the Website or Company services if you are subject to Vietnamese sanctions or those applicable in your country. You are responsible for complying with Vietnam export and re‑export restrictions or other applicable restrictions.

Termination or Suspension

This Agreement is effective until terminated by you or us. We may suspend or terminate this Agreement at any time, without notice, and deny you access to all or part of the Website. You may terminate anytime by contacting customer service and ceasing all use. Upon termination, you must destroy all materials obtained from the Website, including copies. We reserve the right to modify or discontinue the Website in whole or part with notice.

Account Termination

We may terminate any account if your order is fraudulent or credit card charges are disputed. You agree we may terminate or suspend your access to the Website, with or without notice, for conduct we believe violates this Agreement, laws, or is harmful to others or us.

Survival

The following sections survive termination by either party: Privacy, Disclaimers, Liability limitations, Interpretation, Governing law.

Communications Consent

You agree to receive SMS (text messages) from us at the number you provided regarding account or order information.

If you opted in for marketing and promotional SMS, we will send a confirmation SMS. Message and data rates may apply; message frequency varies. Carriers are not liable for undelivered or delayed messages.

You confirm the number provided is yours and consent to calls/texts. You agree to notify us if you change your number. We may contact you via these means, and you may incur charges.

You may opt out of SMS marketing at any time by emailing sales@sorbus.vn. Message/data rates may apply; message frequency varies. Carriers are not responsible for undelivered messages.

Copyright, Trademarks & Other IP

You acknowledge that Solife and all materials on or relating to the Website or Programs—including design, text, graphics, audio, imagery, software, and selection/arrangement thereof (collectively, “Materials”)—are our property and protected by copyright and intellectual property laws. Trademarks, trade dress, trade names, and logos on the Website, including registered trademarks in Vietnam, Solife® (“Trademark”) are our sole property. Custom page headers, graphics, and icons are Solife’s Copyright. Solife grants you a limited, non‑exclusive, non-transferable, non-sublicensable, revocable license (“License”) to access and use Materials and Trademark solely for your personal, non-commercial use. You agree not to copy, modify, distribute, transmit, republish, sell, resell, or exploit any portion of the Website, Materials, or Trademark unless expressly permitted by us in writing. This License remains in effect until termination of this Agreement. Unauthorized use terminates the License. All rights not expressly granted are reserved by us and our licensors. Copyright, trademark, product names, company names, logos, and other IP rights are the property of their respective owners. References to third-party IP do not imply affiliation or endorsement.
